SCOPE

Document scope

Website, SaaS dashboard, APIs, documentation, trials, paid plans, and support channels.

Status: first operational draft, pending legal review. It must be reviewed by counsel, the privacy owner, and the security owner before it is published as a binding policy or attached to a signed enterprise agreement.

§ 01

Use of the service

AdaptOrch provides an LLM orchestration control plane, usage monitoring, API-key management, runtime control, and reliability diagnostics.

Customers are responsible for the lawfulness of submitted prompts, datasets, credentials, application content, and downstream outputs.

Customers must not attempt to bypass authentication, tenant isolation, rate limits, billing controls, security controls, or provider restrictions.

§ 02

Account and API responsibility

Customers must keep credentials and API keys confidential, rotate keys if compromise is suspected, and promptly remove users who no longer need access.

Actions performed using a valid account or API key may be treated as customer-authorized unless AdaptOrch has clear evidence of compromise.

§ 03

Service changes and availability

The service may evolve as AdaptOrch improves provider integrations, routing policies, pricing, and reliability controls.

Some features depend on third-party infrastructure or LLM providers. Provider outages, quota changes, model deprecations, and policy changes may affect availability or behavior.

Disclaimers

AdaptOrch is not a substitute for legal, medical, financial, or compliance advice. LLM outputs may be incomplete or inaccurate and should be reviewed before high-stakes use.

To the maximum extent permitted by law, AdaptOrch is provided without warranties beyond those expressly stated in a signed agreement.

§ 05

Payment, subscription & cancellation

Paid plans are billed via Polar (Merchant of Record). Subscription renewals, upgrades, downgrades, and cancellation are managed through your account or Polar customer portal.

Withdrawal and refund rights are governed by our Refund Policy and applicable Korean e-commerce law (전자상거래법 §15–§17). Cancellation takes effect at the end of the current billing period unless otherwise stated.

BYOK LLM provider costs are pass-through and excluded from refunds.

§ 06

Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. If you qualify as a consumer under the mandatory consumer-protection laws of your habitual residence, this choice of governing law does not deprive you of the protections those laws provide.

We encourage resolving disputes through good-faith negotiation first (contact below). Where a dispute proceeds to litigation, it will be brought before a court of competent jurisdiction in the Republic of Korea, subject to any consumer-protection venue rules applicable to you.

Draft note: this clause is a general-purpose placeholder. Whether a specific named court (rather than "a court of competent jurisdiction") can be designated, and whether arbitration should be added, requires confirmation by Korean counsel before this Terms of Service is published as binding.
